These Terms of Use (“Terms”) are an agreement between you and the operator of Estima (“Estima,” “we,” “us”). They apply when you visit the website, create an account, start a free trial, subscribe, or otherwise use Estima (the “Service”). By using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Estima.
These Terms are written for business users across Canada. They are not a substitute for legal advice. A lawyer should review them for your corporation before you rely on them in a dispute.
1. Who Estima is for
Estima is an estimates and invoicing tool for contractors, IT professionals, consultants, and small businesses in Canada. You must be at least 18 and able to form a contract in your province or territory. You are responsible for anyone who uses your account.
2. What the Service does
Estima lets you:
- set up your business profile, including a GST/HST/QST number and logo
- keep client records with billing and shipping addresses
- create products and services and assign Canadian sales tax
- create estimates and invoices, including an invoice without a quote
- convert an estimate to an invoice
- issue credit notes and apply them to unpaid invoices
- record payments you receive from your clients
- run sales, sales tax, unpaid invoice, and aging reports, and print, save as PDF, or export to Excel
- share a document link with a client
Estima is not accounting software, a CRA or Revenu Québec product, a bank, Interac, or a payment processor for money your clients pay you. We are not affiliated with the CRA. Tax rates in Estima are a convenience. You remain responsible for charging, collecting, remitting, and reporting the correct GST, HST, PST, RST, or QST.
3. Account and security
You create an account with your name, email, and a password (at least 8 characters). Your email is your User ID. Keep your password confidential, use accurate information, and tell us promptly if you think the account was misused. We may suspend or close an account that is inaccurate, unpaid, abusive, or used in a way that breaks these Terms or the law.
4. Free trial
A free trial is available for the number of days shown at signup. No credit card is required for the trial. When the trial ends you can still log in and your data remains stored, but customers, estimates, invoices, and reports stay locked until you subscribe, unless we have given you complimentary access. We may change the trial length for new signups. An existing trial keeps its original end date unless we tell you otherwise.
5. Paid plans, prices, and tax on your Estima subscription
Paid plans are shown in Canadian dollars (CAD). Prices and features can change for future billing periods. If you choose a paid plan, payment is processed by Stripe. We do not store your full credit card number on the Estima website. Stripe’s terms and privacy policy also apply to that payment. GST/HST (and any other tax required by law) may be added based on your business province or territory. Subscriptions renew at the interval of the plan you chose until you cancel.
6. How to cancel
Cancel from Profile → Cancel account. Cancelling stops the subscription. You may keep using Estima until the end of the current paid period (or the remaining trial). After that, access to billing functions is removed. Estimates and invoices remain stored for 90 days after cancellation. After that period we may delete them. Complimentary access, if granted, lasts until the date shown on your dashboard.
7. Your content
“Your Content” includes business information, logos, clients, products, estimates, invoices, credit notes, payment records, reports, and support messages you submit. You own Your Content. You grant Estima a limited licence to host, display, back up, and process it only to provide the Service, including when you use a share link. You represent that you have the right to store your clients’ personal information in Estima. You are the organization in control of those client records. Estima processes them to provide the Service.
8. Share links
Estimates, invoices, and credit notes can be opened with a unique link. Anyone who has that link may be able to view the document. You are responsible for whom you send it to.
9. Payments from your clients
Estima does not collect funds from your clients. Put your own payment instructions on the invoice (for example an Interac e-Transfer email). When the client pays you, record that payment in Estima. A “paid” mark is your record. It is not confirmation from a bank or Interac.
10. Acceptable use
You must not:
- use Estima for anything illegal, fraudulent, or misleading
- upload malware or try to break into the Service
- scrape, overload, or reverse engineer the Service except as allowed by law
- impersonate another person or business
- send spam using information stored in Estima
- store content you do not have the right to store
We may remove content or suspend accounts that violate this section.
11. Availability and maintenance
We aim to keep Estima available, but we do not guarantee uninterrupted service. We may schedule maintenance and show a maintenance message during that window. Features may change as we improve the product.
12. Intellectual property
Estima, the website design, software, and our trademarks remain ours. You receive a limited, non-exclusive, revocable right to use the Service for your Canadian business while your account is in good standing.
13. No professional advice
Estima does not provide legal, tax, accounting, or bookkeeping advice. Confirm rates and filings with your accountant or the tax authority in your province or territory.
14. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent allowed by Canadian law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that tax splits, totals, PDFs, or reports are free of error or accepted by every bookkeeper, client, or tax authority.
15. Limitation of liability
To the maximum extent allowed by the law of your province or territory (including Quebec, where some limitations cannot apply to consumers): Estima is not liable for lost profits, lost data, business interruption, or indirect or consequential damages; and our total liability for all claims arising from the Service is limited to the fees you paid us for the Service in the 12 months before the claim. Nothing in these Terms excludes liability that cannot be excluded by law, including fraud or certain consumer rights.
16. Indemnity
You will defend and indemnify Estima against claims arising from Your Content, your use of the Service, your invoices or tax practices, or your breach of these Terms, except to the extent caused by our gross negligence or wilful misconduct.
17. Privacy
Our Privacy Policy explains how we handle personal information.
18. Changes
We may update these Terms. The revised version will be posted with a new effective date. Continued use after the change means you accept the new Terms. If a change is material, we will try to notify account holders by email or an in-app announcement.
19. Governing law
These Terms are governed by the laws of Canada and the Province of Ontario, without regard to conflict-of-law rules. Courts of Ontario have exclusive jurisdiction, except where the law of your province (including Quebec) requires otherwise for consumers.
20. Contact
For questions about these Terms, sign in and send a message through General Inquiry, or use Report Issue if something in the product is not working.
